The agreement between you and SceneSort Pro when you download, install or purchase the software.
These Terms of Service (“Terms”) govern your access to and use of the SceneSort Pro desktop application (the “Software”) and website (the “Site”), provided by [SceneSort Pro — Your Company Legal Name] (“we”, “us”, or “our”). By downloading, installing, or using the Software, you agree to these Terms. If you do not agree, do not use the Software.
Subject to these Terms, we grant you a personal, worldwide, non-exclusive, non-transferable, revocable license to download and install the Software and to use it on computers you own or control, for your personal use of organizing your own video library.
Free Edition. The Software may be used free of charge to process up to 500 files. There is no time limit on the Free Edition.
Pro Edition. A one-time purchase of US$49.95 unlocks unlimited file processing under a lifetime license for the purchasing user. The Pro Edition is a one-time purchase and is not a subscription; we will not charge you on a recurring basis.
If you purchase the Pro Edition, you will receive a license key. You are responsible for keeping your key confidential. You may not share, publish, resell, or transfer your license key. We may deactivate keys that are shared or used in breach of these Terms.

The Software is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. These Terms grant you no rights other than the limited license expressly described above.
Prices are stated in US dollars and may change over time, but a change will not affect a license you have already purchased. Our order process is conducted by our online reseller Paddle.com Market Ltd (“Paddle”), which is the Merchant of Record for all orders. Paddle handles payment, billing, invoicing, and applicable taxes. By completing a purchase, you also agree to Paddle’s buyer terms.
We encourage you to use the free 500-file trial before purchasing. Refunds are governed by our Refund Policy, which forms part of these Terms.
We may release updates that add, change, or remove features. Pro Edition updates are included at no additional cost. We are not obligated to provide updates or to maintain any particular feature indefinitely.
The Software includes third-party components, including ffprobe (part of the FFmpeg project), used to read media metadata locally. Such components are provided under their own licenses, and your use of them is subject to those licenses.
The Software is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be error-free, that detection or matching will be fully accurate, or that it will meet your requirements. You are responsible for maintaining your own backups of your files before using organizing or de-duplication features.
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, files, or profits, arising out of or related to your use of the Software. Our total liability for any claim relating to the Software will not exceed the amount you paid for your license in the twelve months before the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
These Terms apply while you use the Software. Your license terminates automatically if you breach these Terms. On termination, you must stop using and remove the Software. Sections that by their nature should survive (including ownership, disclaimers, and limitation of liability) will survive termination.
These Terms are governed by the laws of [your jurisdiction], without regard to its conflict-of-laws rules. The courts of that jurisdiction will have exclusive jurisdiction, except where applicable consumer law gives you the right to bring proceedings elsewhere.
